Terms of Service

These terms govern your use of ChordFocus (the Service), a chord chart teleprompter available at chordfocus.com. By using the Service you agree to them. If you do not agree, please do not use the Service.
The Service is operated from Australia by the ChordFocus sole trader (we, us). Contact: chordfocus.com/contact.
The short version. ChordFocus is an empty container. You bring your own chord charts. We don't supply songs, we don't check what you paste in, and we don't have the right to give you anyone else's music. If you put copyrighted material in, that's on you — and if you share it, that's very much on you.
1. What ChordFocus is
ChordFocus displays chord charts that you create or supply. We provide software: a chart viewer, a scrolling teleprompter, a metronome, setlists and related tools.
We do not supply, host a catalogue of, index, recommend, curate, or make searchable any songs, lyrics, chord charts or other musical content. There is no library of songs to browse. Any demonstration content included with the app is there to show how the app works and is provided for that purpose only.
2. Your content and your responsibility
Anything you type, paste, import or upload is Your Content. You keep ownership of it. We claim no ownership of Your Content.
By adding Your Content to the Service, you represent and warrant that:
- you own it, or you hold all rights, licences and permissions necessary to use it in the way you are using it;
- your use of it does not infringe any copyright, moral right, trade mark, contract or other right of any third party;
- if you share it, you hold the rights necessary to distribute it to the people you are sharing it with; and
- you are not breaching the terms of service of any website or service you obtained it from.
Many chord and tablature websites restrict what you may do with material you obtain from them, including restricting you to personal, non-commercial use and prohibiting onward distribution. Those restrictions are between you and that website. It is your responsibility to read and comply with them.
You grant us a non-exclusive, worldwide, royalty-free licence to store, transmit and display Your Content solely to the extent necessary to operate the Service for you and for the people you deliberately share with. This licence ends when you delete the content.
3. What we do not do
We do not review, monitor, screen, edit, approve or verify Your Content. We have no practical ability to know whether any particular chart is licensed to you. We do not store one shared copy of a chart across multiple users; each user's content is stored separately for that user.
Nothing in the Service should be read as us granting you any licence to any musical work, lyric, composition or recording. We do not hold such licences and cannot pass them on.
4. Cloud sync
If you have a Pro licence, the Service can back up your own library and setlists to our server so you can restore them on your own devices. This is a personal backup facility. Your synced content is retrievable only using your own licence code. We do not read, analyse, index or share it.
5. Band sharing
The Service includes a limited sharing feature so you can pass a chart or setlist to the other members of your band.
Band sharing is deliberately constrained. Share links:
- require an active Pro licence to create, and are recorded against that licence;
- expire automatically after a limited period;
- can be redeemed only a small number of times, sufficient for a band; and
- can be revoked by the person who created them.
Band sharing is not a publishing, broadcast or distribution tool. You must not:
- post share links publicly — on websites, forums, social media, messaging groups beyond your band, or anywhere they can be found by people you did not choose;
- use sharing to distribute material you do not hold the rights to distribute;
- attempt to circumvent the expiry, redemption limits or licence attribution; or
- use the Service to build or distribute a collection of charts for others.
We may reduce, suspend or remove sharing functionality at any time, for any user or generally.
6. Copyright notices and repeat infringers
We respond to credible claims of copyright infringement. Full details, including how to send a notice and who to send it to, are on our Copyright & Takedown page.
Repeat infringer policy
We have adopted and will reasonably implement the following policy:
- On receiving a valid notice, we will expeditiously remove or disable access to the material identified, and record a strike against the account or licence responsible.
- We will notify the affected user where we can, and they may submit a counter-notice.
- A strike is withdrawn if the notice is retracted, successfully countered, or found to be invalid.
- On a second strike, we will disable sharing on that licence.
- On a third strike, we will terminate the account and licence, without refund.
- We may act sooner, including immediate termination, where the infringement is flagrant, repeated in a single notice, or where we have other clear evidence of deliberate infringement.
We maintain records of notices received and action taken.
7. Acceptable use
You must not use the Service to: break any law; infringe anyone's rights; distribute malware; attempt to gain unauthorised access to our systems or another user's data; scrape, crawl or bulk-download from us or, using our tools, from anyone else; resell or commercially redistribute the Service; or automate the creation of share links.
You must not build any feature, script or integration that causes our servers to fetch content from a third-party website on your behalf.
8. Pro subscriptions and payment
ChordFocus is free to use for up to 8 of your own songs. A Pro subscription is AUD/USD $14.99 per year as displayed at the time of purchase, processed by Stripe. A 7-day Pro trial is available without payment details.
A Pro licence may be activated on up to 3 devices. Your licence code is personal to you; do not publish or resell it.
Subscriptions are for a fixed term as described at checkout. You may stop using the Service at any time. To cancel or request a refund, contact us.
9. Australian Consumer Law
Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these terms excludes, restricts or modifies any right or remedy, guarantee, warranty or other term or condition implied or imposed by the Australian Consumer Law or any other law which cannot lawfully be excluded or limited.
For major failures with the service, you are entitled to cancel your service contract with us and to a refund for the unused portion, or to compensation for its reduced value. You are also entitled to be compensated for any other reasonably foreseeable loss or damage. If the failure does not amount to a major failure, you are entitled to have problems with the service rectified in a reasonable time and, if this is not done, to cancel your contract and obtain a refund for the unused portion of the contract.
10. Availability and disclaimer
Subject to section 9, the Service is provided on an "as is" and "as available" basis. We do not warrant that it will be uninterrupted, error-free, or that it will meet your requirements.
ChordFocus is used in live performance. You are responsible for having a fallback. Screens fail, batteries die, browsers update and networks drop. Do not rely on the Service as your only copy of anything you need on stage.
Your content is stored in your browser's local storage. Clearing browser data, uninstalling, or device loss will delete it unless you have Pro cloud sync enabled. Keep your own backups.
11. Limitation of liability
Subject to section 9, and to the maximum extent permitted by law, our total aggregate liability to you arising out of or in connection with the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) AUD $100.
Subject to section 9, we are not liable for indirect, incidental, special or consequential loss, loss of profit, loss of opportunity, or loss of or damage to data.
12. Indemnity
You agree to indemnify and hold harmless ChordFocus, its operator, and its contractors and agents from and against any liabilities, losses, damages, claims or costs, including reasonable legal fees, incurred in connection with or arising from any third-party allegation, claim, action, dispute or demand asserted against any of them as a result of or relating to Your Content, your sharing of Your Content, your use of the Service, your breach of these terms, or any wilful misconduct on your part.
13. Suspension and termination
We may suspend or terminate your access, with or without notice, if you breach these terms, if we are required to by law, or in accordance with our repeat infringer policy. You may stop using the Service at any time and delete your data using "Reset App Data" in the app menu.
14. Changes
We may update these terms. Material changes will be posted on this page with a revised date. Continued use after changes constitutes acceptance. If you do not accept the changes, stop using the Service.
15. Governing law
These terms are governed by the laws of Western Australia, Australia. You and we submit to the non-exclusive jurisdiction of the courts of Western Australia and the Commonwealth of Australia. If any provision is found unenforceable, the rest remains in force.
